Practiceful Alpha User Agreement

Version 2026-10-16.1

This agreement is between Intelligena LLC ("we", "us") and the person accepting it ("you"). It covers your participation in the Practiceful public alpha. Please read it — accepting it is a binding commitment, and we will keep a record of the version you accepted and when.

1. What you are getting

Once we approve your request, we are giving you access to Practiceful before its general release, free of charge — the Flex Plan, free for twelve months from the day you are approved. We approve requests individually and may decline or delay one. There is no fee and no card is required. Your alpha place covers one practice and the people you invite to it.

2. Your practice records, and your clients

Your practice data — your client records, notes, appointments and invoices — remains yours, and we do not acquire any right to it by running this alpha. Confidentiality under this agreement runs one way: it covers our unreleased product, never your practice or your clients. Because the alpha is unfinished software, do not make Practiceful the only place any clinical or financial record exists — keep your own copies of anything you are required to retain, and anything you cannot afford to lose. Nothing in this agreement is a business associate agreement or changes any obligation you have to your clients under health information law; ask us if you need one in place.

3. Confidentiality

Everything you learn about Practiceful through the alpha that is not already public is confidential. That includes unreleased features, screens and workflows, the behaviour and limitations of the software, performance and defects, our plans and roadmap, pricing that is not published, and anything we tell you in support of your participation. You agree not to disclose any of it to anyone else, and not to publish screenshots, recordings, walkthroughs, reviews or benchmarks, without our written permission. This obligation continues until the information becomes public through no act of yours.

4. Your staff and your clients may use it

You may give access to people who work in your practice, and your clients will necessarily see the parts of Practiceful built for them — booking, forms, invoices and their own records. You are responsible for the people you invite. You may tell them you are using Practiceful, and you must not represent the alpha as a finished product to them or make commitments on our behalf.

5. Not building a competing product

You agree that you will not use anything you learn through the alpha to design, build, specify, advise on or otherwise assist in the development of a competing practice management, scheduling, clinical records or practice billing product, whether for yourself or for anyone else, while this agreement is in force and for twelve months afterwards. This restricts the USE OF WHAT YOU LEARN HERE. It does not restrict your employment, and nothing in it prevents you working in health technology generally or using knowledge and skill you already had or later acquire independently.

6. The software is unfinished

The alpha is provided as-is. It may contain defects, lose data, change without notice, or become unavailable. To the extent the law allows, we are not liable for loss arising from your use of the alpha. This does not limit anything that cannot be limited by law.

7. Feedback

If you send us feedback, suggestions or defect reports, we may use them freely and without obligation to you. You keep no rights in a feature we build as a result.

8. Ending it

Either of us may end your participation at any time and for any reason. We will give you a reasonable opportunity to export your practice data if we end it. Clauses 2, 3 and 5 survive the end of this agreement.
